Coeur Solutions LLC ("CS") provides a variety of training, coaching, keynote, and consulting services ("Services") to clients, CS also offers general consulting, keynote speaking engagements, and custom training programs designed to meet the specific needs of each client. The specific services provided will be outlined in the scope of work (SOW) for each project.

2. Payment Terms

Payment for Services is due net 30 days from the service date(s) unless otherwise agreed upon in writing. Late payments will be subject to a late fee of 1.5% per month (or the highest rate allowed by governing law, if lower).

3. Client Responsibilities

The Client agrees to:

  • Provide CS with all necessary information and materials to perform the Services.
  • Cooperate fully with CS throughout the engagement.
  • Designate a point of contact for the project.
  • Clearly define and communicate to CS all required outcomes prior to engagement.

4. Intellectual Property

CS retains all intellectual property rights to its training materials, methodologies, and processes.

5. Client Materials

The Client retains ownership of all information and materials provided to CS that is marked as proprietary.

6. Confidentiality

CS maintains strict confidentiality regarding all non-public information received from the Client. This information will not be disclosed to any third party without the Client's written consent.  Any non-public information should be marked as such to assist CS in maintaining this confidentiality.

7. Marketing and Publicity

CS reserves the right to use the Client's logo and any photographs taken during the engagement for marketing and promotional purposes, provided such use does not disclose any confidential information about the Client or its business. CS agrees to obtain written consent from the Client before using any case studies that identify the Client.  CS reserves the right to engage on social media with the client or the employees thereof at their discretion.  It is the clients responsibility to ensure their employees uphold corporate policy as it regards to social media and confidentiality on social media.

8. Limitation of Liability

CS's total liability for any claim arising out of or related to these Terms and Conditions or the Services provided shall not exceed one half of the amount paid by the Client for the Services.

9. Term and Termination

These Terms and Conditions will remain in effect for the duration of the Engagement Letter and any subsequent engagements between CS and the Client.

10. Entire Agreement

These Terms and Conditions, together with the Engagement Letter, constitute the entire agreement between CS and the Client regarding the Services and supersede all prior or contemporaneous communications, representations, or agreements.

11. Governing Law

These Terms and Conditions will be governed by and construed in accordance with the laws of the State of Idaho.

12. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms and Conditions or the Services provided, the parties agree to attempt to resolve the dispute amicably through mediation conducted by a neutral and qualified mediator in the State of Idaho. The cost of mediation shall be shared equally by the parties. If mediation is unsuccessful, the dispute may then be brought before a court of competent jurisdiction in the State of Idaho.

13. Warranties

CS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. CS DOES NOT WARRANT THAT THE SERVICES WILL PRODUCE ANY SPECIFIC RESULTS.

14. Insurance

The Client represents and warrants that it maintains in full force and effect throughout the term of the Engagement Letter general liability insurance and any other insurance coverage necessary to cover its facilities, personnel, and activities related to the Services provided by CS. The Client agrees to provide CS with a certificate of insurance evidencing such coverage upon request.

15. Severability

If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect. This means that if a court or other authority finds that one part of this agreement cannot be legally enforced, the rest of the agreement will still be binding.

15. Cancelation 

If the client(s) and/or clients employee(s) no-shows no-contacts CS during the performance of the SOW, CS reserves the right to collect the full amount charged for the services as rendered.
